1. Provider and Scope

1.1 The provider of the app "Hub Club" (hereinafter "App") is taliox GmbH, Am Lindbruch 75, 41470 Neuss, Germany.

1.2 The App is exclusively aimed at business users (hereinafter "Users") who use the App on behalf of or for the account of a company, a legal entity, a legal entity under public law, or in the context of their self-employed or commercial activity.

1.3 These Terms and Conditions apply exclusively to all contractual and pre-contractual legal relationships between taliox GmbH and the Users in connection with the use of the App. They do not apply to other services or projects of taliox GmbH.

2. Service Description

2.1 The App includes a publicly accessible area as well as a closed area for which registration is required.

The App serves the digital networking of startups, companies and partners and offers in particular the following functions:

Provision of news and news content,
Information about and organization of events,
Chat function for individual or group-based communication,
Creation and maintenance of a user profile for business networking.

2.2 Basic use of the App is free of charge. Fees may apply for certain additional services (e.g. booking of room quotas, additional services).

3. Registration

3.1 Registration is required to use the closed area. Truthful information must be provided during registration.

3.2 Registration requires the following information: First name, last name, company, business email address. Optionally, users can provide additional information (e.g. profile picture, social media links).

3.3 By registering, the User accepts these Terms and Conditions. The usage contract is concluded upon successful registration.

4. Usage Rights and User Obligations

4.1 Users may post their own content (e.g. texts, images, messages) in the App. By posting, the User grants the Provider a simple, geographically unrestricted right of use for the intended display within the App.

4.2 Users undertake not to post any illegal, offensive, discriminatory or advertising content without the Provider's consent.

4.3 The Provider is entitled to remove content or block user accounts if there is a violation of these Terms and Conditions or legal regulations.

4.4 The User shall indemnify the Provider against all third-party claims arising from the User's unlawful content, including reasonable legal defense costs.

5. Costs

5.1 The use of basic functions is free of charge.

5.2 Fee-based additional services are displayed separately; a contract for these services is only concluded upon express booking by the User.

6. Liability

6.1 The Provider is liable without limitation in cases of intent and gross negligence.

6.2 In cases of simple negligence, the Provider is only liable for the breach of essential contractual obligations (cardinal obligations). In this case, liability is limited to the typically foreseeable damage.

6.3 Liability for third-party content as well as for data loss or damage caused by system failures only exists to the extent that mandatory statutory provisions require this.

7. Termination and Deletion

7.1 Users can have their account deleted at any time by sending an email to taliox GmbH (hello@hubclub.app). Upon deletion of the account, the User's personal data will be deleted. Content in group chats or public areas may remain for technical reasons and to maintain traceability.

7.2 The Provider is entitled to block or delete user accounts without notice in the event of violations of these Terms and Conditions.

8. Final Provisions

8.1 German law applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods.

8.2 The place of jurisdiction is, to the extent legally permissible, the registered office of taliox GmbH.

8.3 Should individual provisions of these Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.

8.4 The Provider reserves the right to change these Terms and Conditions at any time. Changes will be communicated to Users in an appropriate manner and will take effect 4 weeks after notification. Continued use of the App after the changes take effect shall be deemed acceptance of the amended Terms and Conditions.
